Terms & Conditions (Master Services Agreement)

1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of the operations platform ("Platform") provided by the Service Provider ("Provider"). By accessing or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
2. Nature of the Service
The Platform is a B2B operations tool designed to assist users in scheduling, drafting, and managing email communications based on uploaded data.
CRITICAL SERVICE LIMITATION: The Platform NEVER sends emails automatically. The Platform is strictly a drafting and scheduling tool. All final email transmissions require explicit, manual approval by an authorized human user. The Provider bears no responsibility for the content, timing, or consequences of any email sent after such approval is granted.
3. User Responsibilities
You acknowledge and agree that:
- Approval Authority: You are solely responsible for reviewing and approving all content before it is sent. The Platform has no authority to act on your behalf without specific instructions.
- Email Configuration: You are responsible for configuring and maintaining your own SMTP credentials or AWS SES identity. The Platform acts only as an interface to these services.
- Compliance: You must ensure that your use of the Platform complies with all applicable laws, including but not limited to anti-spam laws (e.g., CAN-SPAM, GDPR, CASL) and data protection regulations.
4. Email Sending & Deliverability
- Sending Mechanisms: The Platform supports sending via User-Configured SMTP or AWS SES.
- No Deliverability Guarantee: The Provider does not guarantee the deliverability of emails. Deliverability is subject to your email service provider's policies, recipient server filters, and your domain reputation.
- Failed Credentials: If your configured SMTP or SES credentials are invalid, revoked, or restricted, the Platform will cease to function for sending purposes. The Provider is not liable for service interruptions caused by external credential failures.
- System Emails vs User Emails: The Platform may send system-generated emails (e.g., password resets, security alerts) using Provider-managed services. ALL client-facing or business emails are sent EXCLUSIVELY using user-configured SMTP or approved SES identities. System email services are NEVER used to communicate with your end clients.
5. Intellectual Property & Content
- Your Data: You retain all rights to the data (e.g., Excel files) you upload. The Provider claims no ownership over your proprietary business data.
- Platform Rights: The Provider retains all rights, title, and interest in the Platform, including its code, logic, and interface.
6. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE PROVIDER DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
7. Service Availability
Service Timing & Availability: The Platform operates on a best-effort basis. Scheduled checks, reminders, or notifications may be delayed due to system load, third-party service availability, or network conditions. The Provider does not guarantee real-time execution or exact delivery timing.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY EMAILS SENT AFTER USER APPROVAL, REGARDLESS OF CONTENT OR CONSEQUENCE.
IN NO EVENT SHALL THE PROVIDER'S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Service Provider is officially incorporated, without regard to its conflict of law provisions.
